IOConnex LLC ("we," "us," "our")

1. Acceptance

By accessing or using our API services, including our MCP (Model Context Protocol) servers (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

2. Description of Services

We provide programmatic API access to software tools, including web search, document conversion, and price tracking, delivered over HTTP and MCP transports. The Services are provided on an as-available basis; we do not guarantee uptime, response times, or result accuracy.

3. Payments

Per-call (x402): Certain endpoints require a micropayment in USDC on the Base network, processed under the x402 protocol. Prices per tool call are published in the `402 Payment Required` response. Payments are authorized via signed EIP-3009 authorizations and settled on-chain.
Subscriptions (Stripe): Monthly subscription plans are billed through Stripe. Subscriptions renew automatically each month until canceled. You may cancel at any time; access continues through the end of the paid period.
Price changes: We may change prices at any time. Per-call price changes apply immediately to new calls. Subscription price changes apply from your next renewal, with notice.

4. Acceptable use

You agree not to:

Use the Services to violate any law or regulation;
Attempt to bypass payment requirements, rate limits, or access controls;
Resell or redistribute the Services without written permission;
Use the Services to infringe intellectual property rights or to collect personal data about third parties without consent;
Probe, scan, or overload our infrastructure.

We may suspend or terminate access for violations, without refund of per-call payments already consumed.

5. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Outputs generated by the Services (search results, converted documents, price data) are provided for informational purposes only.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IOConnex LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify and hold harmless IOConnex LLC from claims arising from your misuse of the Services or violation of these Terms.

8. Termination

We may suspend or terminate your access at any time for violation of these Terms or for non-payment. You may stop using the Services at any time.

9. Changes to these Terms

We may update these Terms; material changes will be posted with a revised effective date. Continued use after changes take effect constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.
